These Terms of Service (“Terms”) are a binding agreement between you and Onbiz.com (“OnBiz,” “we,” “us”) and govern your use of onbiz.com and our business formation, registered agent, licensing, and compliance services (the “Services”). By using the Services you agree to these Terms.
1. Not a law firm
OnBiz is not a law firm and does not provide legal, tax, or accounting advice. We prepare and submit filings based on information you provide. Communications with OnBiz are not protected by attorney-client privilege. For legal advice, consult a licensed attorney in your jurisdiction.
2. Your account
- You must be at least 18 and able to enter binding contracts.
- You're responsible for the accuracy of every detail you submit; inaccurate information can cause rejected filings, penalties, or loss of good standing.
- You're responsible for the security of your login credentials and for any activity under your account.
3. Service scope and government fees
Pricing is stated at checkout and covers the specific service you select. Government filing fees, license fees, expedite fees, and taxes are charged in addition to OnBiz service fees and are set by the relevant agency. Processing times depend on government processing queues and are outside our control.
4. Registered agent service
If you subscribe to registered agent service, OnBiz will accept service of process and official mail at the address we designate for you and forward it electronically. You must maintain an accurate contact email. If you cancel, you're responsible for filing a change of agent with the state.
5. Payments, renewals, and refunds
- Subscription services auto-renew at the then-current price until canceled.
- Cancel any time by emailing info@onbiz.com; cancellation stops the next renewal but does not refund past periods.
- Because government fees are nonrefundable once paid to the agency, fees already paid to government agencies are not refundable by OnBiz.
- OnBiz service fees may be refundable at our discretion for orders that have not yet been submitted to an agency.
- Chargebacks initiated without first contacting us may result in account suspension.
6. Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or misleading purposes.
- Submit information you don't have the right to submit.
- Reverse-engineer, scrape at scale, or interfere with the Services.
- Use the Services to harass, defame, or violate the rights of others.
7. Intellectual property
The Services, including the site, content, and software, are owned by OnBiz and its licensors and are protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable license to use the Services as offered, which ends when your account ends. You retain ownership of your business information.
8. Third-party services
The Services may link to or integrate with third parties (government agencies, payment processors, email providers). We're not responsible for third-party terms or content.
9. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FILINGS WILL BE ACCEPTED BY ANY AGENCY.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONBIZ'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID ONBIZ (EXCLUDING GOVERNMENT FEES) IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
11. Indemnification
You agree to indemnify and hold OnBiz harmless from claims, liabilities, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access if you breach these Terms, if required by law, or for any legitimate business reason. You may stop using the Services at any time. Sections that by their nature should survive (payments owed, IP, disclaimers, liability, dispute resolution) survive termination.
13. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws rules. Any dispute will be resolved in the state or federal courts located in Wyoming, and you consent to personal jurisdiction there.
14. Changes
We may update these Terms. Material changes will be announced by email or in-product notice. Continued use after changes means you accept the new Terms.
